Risk of loss and title for food products pass to you upon delivery to the address specified in your order. If no one is available to receive a delivery, Wing Snob and its delivery personnel will follow applicable delivery protocols, which may include leaving the order at the door. Wing Snob shall not be responsible for the condition of items left unattended at your delivery location.

7. Intellectual Property Rights

IN NO EVENT SHALL WING SNOB'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF OUR SERVICES EXCEED THE GREATER OF: (A) ONE HUNDRED DOLLARS ($100.00) USD, OR (B) THE TOTAL AMOUNT YOU PAID TO WING SNOB IN THE THIRTY (30) DAYS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Some states do not allow the exclusion or limitation of certain warranties or liability for incidental or consequential damages, so some of the above limitations may not apply to you. In such states, Wing Snob's liability shall be limited to the greatest extent permitted by applicable law.

10. Indemnification

You agree to defend, indemnify, and hold harmless Wing Snob and its respective officers, directors, employees, agents, contractors, licensors, service providers, subsidiaries, and affiliates from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:

13. Dispute Resolution

13.1 Informal Resolution

EXCEPT AS OTHERWISE PROVIDED HEREIN, ANY DISPUTE, CONTROVERSY, OR CLAIM ARISING OUT OF OR RELATING TO THESE TERMS, OR THE BREACH, TERMINATION, OR VALIDITY THEREOF, SHALL BE FINALLY RESOLVED BY BINDING ARBITRATION IN ACCORDANCE WITH THE CONSUMER ARBITRATION RULES OF THE AMERICAN ARBITRATION ASSOCIATION (AAA), AS AMENDED FROM TIME TO TIME. THE ARBITRATION SHALL BE CONDUCTED IN THE ENGLISH LANGUAGE. THE ARBITRATOR'S AWARD SHALL BE FINAL AND BINDING AND MAY BE ENTERED AS A JUDGMENT IN ANY COURT OF COMPETENT JURISDICTION.

The arbitrator shall have the authority to award any remedy or relief that a court of competent jurisdiction could order, including injunctive or other equitable relief, provided, however, that the arbitrator shall not have the authority to award punitive or exemplary damages except to the extent such damages are expressly authorized by statute.

You may opt out of this arbitration agreement by providing written notice to Wing Snob within thirty (30) days of first agreeing to these Terms. Your notice must be sent to [email protected] and must include your name, address, and a clear statement of your intent to opt out of arbitration.

13.3 Class Action Waiver

YOU AND WING SNOB AGREE THAT ANY CLAIMS BROUGHT AGAINST EACH OTHER SHALL BE ON AN INDIVIDUAL BASIS ONLY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF CLASS OR REPRESENTATIVE PROCEEDING. IF THIS CLASS ACTION WAIVER IS FOUND TO BE UNENFORCEABLE, THEN THE ARBITRATION AGREEMENT IN THIS SECTION SHALL BE NULL AND VOID.

13.4 Exceptions to Arbitration

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to protect its intellectual property rights or confidential information, or to prevent imminent harm to persons or property, without first engaging in the informal dispute resolution process described above.
